Club By Laws
Article I
Name and purpose
Section 1.
The name of the organization shall be the Mount Baker MG Car Club.
Section 2.
The organization is an affiliate of the MG Car Club, Ltd. UK and is
a chapter of the North American MGB Register USA
Section 3.
The purpose of this organization will be to encourage the maintenance,
preservation and active use of all types of MGs.
Article II
Membership and Dues
Section 1.
Membership in this club will be restricted to owners of MGs, with the
exception of Associat Members as defined in Section 2 of the Article.
Section 2.
Classes of Membership
A. Regular membership - shall be available to owners of MGs with
either the original specifications or with minor modifications.
B. Associate membership - shall be offered to those who have owned
an MG in the past, intend to acquire one, or are interested in MGs.
Section 3.
Dues and Priviledges
A. The fiscal year of the Club shall be from the first day of May
through the 20th of April of the next year.
B. Membership dues of $20,00 per year will entitle the members to
participate in all Club activities, to receive all Club mailings and
News Letters and to one vote.
C. Associate members will pay the same dues and have the same priviledges
as regular members.
D. Dues are payable on May 1st of each year and become delinquent
on the 31st of May. Members joining after October 1st will pay one
half of the annual dues for that year.
E. Members whose dues are delinquent on May 31st will be notified
by the Treasurer and their names will be dropped from the membership
roll if dues are not paid within 30 days after notice is mailed.
Article III
Officers
Section 1.
The elected officers of the Club shall be the President, Vice President
and Secretary/Treasurer.
Section 2.
Appointed officers of the club: Editor, Events Chair, Historian, etc.
shall be appointed as needed.
Section 3.
The board of directors shall be composed by the elected and appointed
officers. Founding members shall be non-voting advisory members.
Section 4.
All officers must be Active Family or Individual Members in goo standing.
They shall be elected for (1) year terms. There shall be no term limits.
Section 5.
In the event of a vacancy on the Board, the unexpired term shall be
filled by appointment of the President and approval of the board.
Article IV.
Duties of the Officers
Section 1.
The President shall preside at all Membership and Board meetings, appoint
all Appointed Officers and committee chairs, be an ex-officio member
of all committees and call special meeting as deemed necessary.
Section 2.
The Vice President shall perform the duties of the President in the
absence of the President.
Section 3.
The Secretary shall keep all minutes of all meetings and report them
at the next meeting and/or in the next News Letter. The Secretary shall
keep a record of all official correspondence of the club.
Section 4.
The Treasurer shall collect all dues, give notice of delinquent dues,
have custody of all fund of the Club, keep records of all receipts and
expenditures approved by the Board and present a statement for an annual
audit. The postitions of Secretary and Treasurer may be combined.
Section 5.
The duties of any Appointed Officers will be defined at the time of
their appointment.
Article V.
Committees
Standing and Special Committees shall perform such duties as may be
assigned to them in the interests of the Club.
Article VI.
Meetings and Quorums
Section 1.
At least one Club event will be organized for each month. This may be
a business or social meeting, a driving event such as a scenic tour,
a drive to a regional Car Show, or a competitive event with the award
of prizes. Only those driving MGs will be eligible for prizes.
Section 2.
Cooperation , and joint events, with other MG Car Clubs in the area
will be encouraged as well as with other Car Clubs of common interests.
Members of these other Car Clubs may be invited to participate in Club
events and compete for awards.
Section 3.
A quorum at a business meeting shall consist of those present, the membership
having been advised by a notice mailed at least seven (7) days prior.
Section 4.
Board of Directors meetings, open to all members, shall be called as
deemed necessary. Only board members may vote.
Section 5.
A quorum of the Board shall be a majority of the Elected and Appointed
Officers.
Article VII.
Nominations and Elections
Section 1.
A Nominating committee of three (3) members will be appointed by the
President in September fo each year. The President may not be a member
of this committee. The report of the Commmittee will be a Club News
Letter mailed in October. Nominations may be made from the floor of
a meeting or to the Chair of the Committee.
Section 2.
Elections of Offiicers will be held in November. Ballots willb be mailed
to members in good standing and should be returned to the Chair prior
to the date set by the Committee. Officers will be elected by a majority
of those voting.
Section 3.
Elected Officers will be installed and assume office in January.
Article VIII
Parliamentary Authority
The Parliamentary authority of the Club shall be the most recent revision
of Robert's Rules of Order.
Article IX
Corporate Operation
The Mount Baker MG Car Club shall operate in accordance with the policies
and guidelines approved by the Board of Directors.
Article X
Amendments
These By Laws may be amended by a vote of two thirds (2/3) of members
voting, provided that the proposed amendments have been distributed
to the membership for consideraion at least one month in advance.
